Dell has arranged to purchase IT services provider Perot Systems for $3.9 billion, in the company's largest ever acquisition.
The cash offer of $30 per share represents a premium of around two thirds on Perot's trading price prior to the announcement.
Pending regulatory approval, the deal should be finalized by the November-January fiscal quarter, Dell said.
Perot Systems was founded in 1988 by former US presidential candidate Ross Perot. The company provides services for applications, technology, infrastructure and business processes, primarily for the health-care and government markets.
Dell and Perot had a combined $16 billion in revenue from enterprise hardware and IT services, with around $8 billion from enhanced services and support, Dell said.
